1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the AI Paralegal platform and services ("Services") operated by AI Paralegal Limited ("we", "our", or "us"), a company incorporated in Hong Kong.

By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services. If you are using the Services on behalf of a law firm or organisation, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

AI Paralegal provides an AI-powered legal technology platform designed for Hong Kong law firms and legal professionals. Our Services include:

• AI-assisted legal document drafting and generation.
• Document review, analysis, and compliance checking.
• Case management and workflow automation tools.
• Legal research assistance and knowledge base access.

Our Services are designed to assist legal professionals and do not constitute legal advice. You are solely responsible for reviewing, verifying, and approving all AI-generated outputs before use. AI Paralegal does not practise law and is not a substitute for qualified legal counsel.

3. User Accounts

To access our Services, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately of any unauthorised access to your account.
• Accept responsibility for all activities that occur under your account.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations, including Hong Kong law.
• Upload malicious software, viruses, or harmful code.
• Attempt to gain unauthorised access to our systems or other users' data.
• Reverse-engineer, decompile, or attempt to extract the source code of our platform.
• Use the platform to generate documents for fraudulent, illegal, or deceptive purposes.

5. Intellectual Property

All content, software, algorithms, designs, trademarks, and other intellectual property on the AI Paralegal platform are owned by or licensed to AI Paralegal Limited. You may not copy, modify, distribute, or create derivative works based on our platform without our express written consent.

You retain ownership of all documents and data you upload to the platform. By uploading content, you grant us a limited, non-exclusive licence to process that content solely for the purpose of providing the Services to you.

6. Fees & Payment

Certain features of our Services require a paid subscription. All fees are quoted in Hong Kong Dollars (HKD) unless otherwise stated. You agree to pay all applicable fees in accordance with the pricing plan you select.

We reserve the right to change our pricing with 30 days' prior notice. Refunds are handled in accordance with our refund policy. Failure to pay may result in suspension or termination of your account.

7. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by Hong Kong law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that AI-generated outputs will be accurate, complete, or suitable for any particular legal matter.

8. Limitation of Liability

To the maximum extent permitted by the laws of Hong Kong, AI Paralegal Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use our Services.

Our total aggregate liability for any claims arising from these Terms or your use of the Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

9. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law.

Upon termination, your right to use the Services ceases immediately. We will retain your data for 90 days following termination, after which it will be permanently deleted unless retention is required by law.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
